Terms of Service

By accessing or using Nanexi RFP Intelligence, you agree to be bound by these Terms of Service and any policies incorporated into them by reference.

If you are using Nanexi on behalf of a company, organization, or other legal entity, you represent that you have authority to bind that entity to these terms.

If you do not agree to these terms, you must not use the service.

Nanexi provides software intended to support RFP response workflows, including document processing, requirement extraction, approved knowledge retrieval, AI-assisted response generation, review, organization, and document export.

We may modify, improve, add, remove, suspend, or discontinue features from time to time as the product evolves.

Certain features may be subject to usage limits, subscription requirements, technical restrictions, or separate terms.

You may use Nanexi only if you are legally capable of entering into a binding agreement and your use is permitted under applicable law.

Nanexi is intended primarily for business and professional use.

You are responsible for ensuring that your use of the service complies with any laws, regulations, contractual duties, and internal policies applicable to you or your organization.

Certain features require a Nanexi account.

You agree to provide accurate information when creating an account and to keep account information reasonably current.

You are responsible for maintaining the confidentiality and security of your login credentials and for activity occurring through your account.

You must notify us promptly if you believe your account has been accessed or used without authorization.

If your account is associated with an organization, workspace, or company account, administrators may be able to manage users, permissions, documents, knowledge, billing, or other workspace information.

Your organization may have rights to access or control content submitted through an organization-managed account.

You are responsible for understanding any policies or agreements that apply between you and your organization.

Nanexi may offer free and paid subscription plans with different features, limits, and usage allowances.

Plan details and pricing displayed at the time of purchase form part of your subscription terms.

Usage limits may apply to RFP projects, AI generations, storage, users, features, or other service functionality.

We may change plans, features, pricing, or usage allowances from time to time. Changes to existing paid subscriptions will be handled in accordance with applicable law and the terms presented when those changes become effective.

Paid subscriptions may be processed through third-party payment providers.

You authorize the applicable payment provider to charge the payment method associated with your subscription for fees and applicable taxes.

You are responsible for providing accurate billing information and keeping your payment method current.

Failed, reversed, disputed, or overdue payments may result in suspension, downgrade, restriction, or termination of paid features where permitted.

Unless otherwise stated at purchase, paid subscriptions may renew automatically at the applicable billing interval until cancelled.

You may cancel a subscription using available account controls or by contacting Nanexi where appropriate.

Cancellation generally stops future renewals. Access to paid features may continue until the end of the applicable paid billing period unless otherwise stated.

Refund eligibility, where applicable, is described in our Refund & Cancellation Policy.

You may submit RFP documents, knowledge-base materials, instructions, answers, evidence, company information, and other content to Nanexi.

As between you and Nanexi, you retain ownership of content you submit, subject to rights necessary for us to provide the service.

You grant Nanexi permission to host, store, process, reproduce, transmit, analyze, transform, and otherwise use submitted content only as reasonably necessary to operate, secure, support, and provide the service.

You represent that you have the rights and permissions necessary to submit and process that content through Nanexi.

You are responsible for determining whether information is appropriate to upload to Nanexi.

You must not upload information where doing so would violate applicable law, contractual restrictions, confidentiality obligations, privacy rights, intellectual property rights, or organizational policies.

Where sensitive business information is used, you should ensure that your organization has approved the applicable use of the service.

Nanexi includes features that may use artificial intelligence to analyze content, retrieve information, and generate draft responses.

AI-generated output may be inaccurate, incomplete, outdated, misleading, or unsuitable for a particular purpose.

You are responsible for reviewing and verifying AI-generated output before using, approving, publishing, sharing, or submitting it.

Nanexi does not guarantee that AI-generated content will satisfy an RFP requirement, win an opportunity, meet a compliance standard, or be accepted by any customer, buyer, regulator, or third party.

You must not use Nanexi to:

• Violate applicable laws or regulations.
• Infringe intellectual property, privacy, confidentiality, or other rights.
• Access or attempt to access accounts, systems, or information without authorization.
• Circumvent usage limits, authentication, security controls, or service restrictions.
• Introduce malware, harmful code, automated abuse, or disruptive traffic.
• Interfere with the operation, availability, integrity, or security of the service.
• Reverse engineer or attempt to extract source code except where such restriction is prohibited by law.
• Use the service to misrepresent facts, impersonate others, or facilitate fraudulent activity.
• Upload content that you do not have the right to process.
• Resell, sublicense, or provide unauthorized third-party access to the service unless permitted by Nanexi.

Nanexi and its associated software, interfaces, branding, designs, documentation, systems, and technology are owned by or licensed to Nanexi and are protected by applicable intellectual property laws.

These terms do not transfer ownership of Nanexi technology or intellectual property to you.

Subject to these terms, Nanexi grants you a limited, non-exclusive, non-transferable, revocable right to access and use the service for its intended purpose during the applicable subscription period.

If you voluntarily provide suggestions, ideas, feedback, or recommendations relating to Nanexi, you allow us to use that feedback to improve or develop the service without an obligation to compensate you.

Nanexi may rely on third-party providers for infrastructure, hosting, payments, AI processing, communications, analytics, databases, security, or other supporting services.

Your use of certain third-party services may also be subject to their own terms and policies.

Nanexi is not responsible for independent third-party products or services outside our reasonable control.

We aim to provide a reliable service, but Nanexi may occasionally be unavailable because of maintenance, upgrades, technical failures, provider outages, security events, or circumstances outside our control.

Unless explicitly agreed in a separate written agreement, we do not guarantee uninterrupted or error-free availability.

We use technical and organizational safeguards designed to protect the service and information processed through it.

No system can guarantee absolute security, and you are responsible for using reasonable security practices when accessing Nanexi.

We may suspend or restrict access to Nanexi where reasonably necessary to protect the service, investigate suspected abuse, address security risks, respond to unpaid fees, comply with law, or enforce these terms.

We may terminate accounts for serious or repeated violations of these terms, subject to applicable law and contractual obligations.

You may stop using Nanexi at any time and may close your account where account controls permit.

To the maximum extent permitted by applicable law, Nanexi is provided on an "as is" and "as available" basis.

We do not guarantee that the service will be uninterrupted, error-free, completely secure, or suitable for every particular business requirement.

We do not guarantee the accuracy, completeness, reliability, or suitability of AI-generated output or retrieved information.

You remain responsible for professional judgment, compliance decisions, commercial commitments, and final RFP submissions.

To the maximum extent permitted by applicable law, Nanexi will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to your use of the service.

This may include loss of profits, business opportunities, revenue, goodwill, anticipated savings, or data, where such exclusions are legally permitted.

Any limitation of liability will apply only to the extent permitted under applicable law and may be further defined by a separate written agreement between Nanexi and your organization.

To the extent permitted by law, you agree to be responsible for claims, losses, liabilities, or expenses arising from your unlawful use of Nanexi, violation of these terms, or content you submit without the necessary rights or permissions.

Nanexi may update these Terms of Service from time to time to reflect product changes, operational requirements, legal obligations, or new features.

When these terms are updated, the "Last updated" date may be revised. Where required, we may provide additional notice.

Continued use of the service after updated terms become effective may constitute acceptance of the revised terms where permitted by law.

The governing law and dispute-resolution rules applicable to these terms may depend on the legal entity operating Nanexi, your location, and any separate written agreement between Nanexi and your organization.

Before public launch, this section should be updated with the applicable legal entity, jurisdiction, venue, and dispute resolution provisions.

If any provision of these terms is found unenforceable, the remaining provisions will continue in effect to the extent permitted by law.

Failure to enforce a provision does not automatically constitute a waiver of that provision.

You may not assign your rights or obligations under these terms without permission where such permission is required. Nanexi may transfer these terms as part of a corporate restructuring, acquisition, merger, financing, or sale of relevant business assets, subject to applicable law.
